Banking and Finance
- Advised Ajeper S.A. in the restructuring of a syndicated loan (Banco Santander del Perú S.A., Banco Santander S.A. and Scotiabank Perú S.A.A.A.), which is secured by an asset trust and joint and several bonds of the companies of the borrower's group. Amount: US$ 125 MM.
- Legal advice to American Glass Products (AGP) in the granting of a line of credit by the syndicate of banks, under New York law, with Credit Suisse as administrative agent together with Santander Peru, Scotiabank, Banco de Occidente and Banco General, for the refinancing of the debt and financing of the Soliver project in Brussels; as well as for working capital and other corporate expenses for the plants in Peru, Brazil and Colombia. In Peru, AGP granted a trust on assets and inventories as collateral and its Peruvian affiliate AGP Industrias acted as guarantor. AGP Peru's subsidiaries in Germany, New York, Brussels, Brazil, Belgium, and Colombia also provided guarantees to the lenders. Amount: US$100 million.
- Legal advice to Credicorp Capital Fondo de Inversión Inmobiliario in acting as joint venture investor in at least five real estate projects from 2017 to 2020.
- Legal advice to Graña y Montero (GyM) in the syndicated loan from BBVA Banco Continental, Banco de Crédito del Perú, Scotiabank, Banco Internacional del Perú-Interbank, Citibank del Perú and Citibank N.A., in the amount of US$ 161 MM.
- This credit facility comprises a working capital loan, a loan to refinance GyM's debt with its lenders and a loan for the repayment of bonds and letters of credit issued by Graña, GyM, Cam Perú S.A., Vial y Vives-DSD S.A. and Concesionaria Vía Expresa Sur S.A.
- In addition, the company was advised on a credit facility agreement for up to US$ 150 MM for the issuance of standby letters of credit and surety bonds on behalf of Graña y GyM, and a commitment for the maintenance and renewal of existing letters of credit and bonds.
Capital Markets
- Advising Capital Tool Company Latin America S.A.C. in the structuring and incorporation of a Securities Clearing and Settlement Institution that allows financing through the use of negotiable invoices. Phase I: Obtaining Organization Authorization before the SMV.
- Legal advice to Credicorp Capital Sociedad Titulizadora in (i) the primary public offering of the certificates of participation of the Real Estate Investment Fund - FIBRA up to the amount of US$ 25.8 million; and, (ii) in the first acquisition by such fund of a ten-story real estate unit of a first class office building in Magdalena del Mar. The Purchase Agreement also provided that the FIBRA could acquire other real estate units in the building in the next three years if certain conditions are met. Amount: US$ 25.7 MM.
- Legal advice to Aeropuertos del Perú in a process of securitization of assets and issuance of bonds through private offering. Amount: US$ 600 MM. The First Issuance was carried out in 2016 and the structuring agent was Credicorp Capital Sociedad Titulizadora. In addition, we advised the client in the second securitization bond issuance. In the Second Issue, the co-structurers were Credicorp Capital Sociedad Titulizadora and BBVA Peru and the securitization bonds were issued for up to S/ 40 MM. The purpose of the financing through the issuance of securitization bonds was to finance investment projects in provincial airports that were granted in concession to Aeropuertos del Perú S.A.
- Advised Concesionaria La Chira inthe private issuance of securitization bonds for the concession rights of PTAR La Chira. Amount: S/ 400 MM.
Mergers and Acquisitions
- Counsel to Mr. Edgardo Wong Lu Vega, who acted as purchaser in the acquisition of 20% of the shares of Argex Trading Finance LTD S.A.C., Harkeith Corporation S.A.C. and Riveroak Finance Corp. S.A.C. (holding companies of Empresa Azucarera el Ingenio S.A.). Amount: Confidential.
- Advised Mitsubishi Corporation in the over-the-counter sale of 30% of the shares owned by Mitsubishi Corporation in Fosfatos del Pacífico S.A. to Fossal S.A.A. Amount: US$ 3.4 MM.
- Advised Mitsubishi Corporation in the structuring, preparation and negotiation of the contracts and guarantees for the acquisition of 30% of the common shares owned by MCA Phosphates Pte. Ltd. in Fosfatos del Pacífico S.A. Amount: US$ 3.4 MM.
